I honestly stand behind the dealer wanting to replace the transmission. I have never seen a good "rebuild" on a current production ZF transmission. Seen many attempts but they usually never work right in the end. I think this is why manufacturers don't allow their techs to rebuild them. I have replaced valve bodies and control modules but never cracked one open. I have 73k on my 05' and it shifts flawlessly after replacing 4-5 litres of fluid last month. These cars are fly by wire, so it's possible you could be experiencing an engine management problem causing the transmission to shift funny. This may also explain your hesitation. Aftermarket warranties love to use salvage and rebuilt parts over new, that's why I never buy them anymore. I had an engine go bad on my toyota pickup and the warranty would only cover a used engine. As for the brakes, I have the R Brembo package on my car and yes they grab. So I can say for sure what your problem is there. I have replaced booster servo's for this problem before (if it is a problem) I have also noticed a difference in pedal feel when adjusting the pedals back and forth.
